Viva Aerobus and Volaris have agreed to create a new Mexican airline group under a holding company structure, aiming to accelerate the growth of low-fare air travel and improve connectivity across Mexico and international markets. The transaction, approved unanimously by both boards, is subject to regulatory and shareholder approvals and is expected to close in 2026.
Under the agreement, both airlines will continue to operate independently with their own brands, operating certificates and management teams, preserving passenger choice. Shareholders of Viva and Volaris will combine their holding companies in a merger of equals, with each group owning 50% of the new airline group on a fully diluted basis. The holding company will remain listed on the BMV and NYSE.
The new group is designed to generate economies of scale, including lower aircraft ownership costs, improved access to capital and a stronger financial profile. These benefits are expected to support network expansion, more point-to-point routes, potential codeshare cooperation, and the continued offering of ultra-low fares. The airlines also see opportunities to enhance frequent flyer benefits and international connectivity.
Viva and Volaris emphasised that the combination will support job stability, create new employment opportunities, strengthen regional development and tourism, and further “democratise” air travel in Mexico. Leadership structures will remain in place at both airlines, while the holding group will be chaired by Viva’s current chairman, Roberto Alcántara Rojas.
