Icelandair completes investment in PLAY’s former Maltese operation

Icelandair has completed the acquisition of a 49% stake in Fly Play Europe Holdco, securing an interest in a business whose Maltese subsidiary holds an Air Operator Certificate (AOC). The transaction gives the Icelandic carrier an additional operating platform for potential international expansion and charter activities.

In an announcement on 19 October, Icelandair confirmed that all conditions attached to the agreement announced on 20 August had been satisfied. The holding company owns Fly Play Europe Limited, the Maltese operator originally established by PLAY.

Under the terms disclosed in August, Icelandair agreed to pay US$686,000 for the minority shareholding, acquired from a fund managed by Isafold Capital Partners. The parties also agreed financing arrangements and a shareholders’ agreement, while Icelandair secured options to increase its stake at a later stage. The airline said the investment would have an immaterial effect on its 2026 financial performance and balance sheet.

The strategic attraction is access to a second European operating structure. When it first announced discussions in April, Icelandair identified opportunities in charter services, citing the Maltese company’s access to a broader range of air service agreements and double-taxation treaties. It also outlined a possible separation of fleet activities: aircraft intended for long-term use in Icelandair’s scheduled passenger network would operate in Iceland, while other aircraft could operate through Malta. These were presented as opportunities rather than confirmed deployment plans.

The investment concerns the holding company above the Maltese certificate holder. It therefore gives Icelandair a minority interest in that corporate structure, rather than transferring the AOC directly to Icelandair. Completion had been conditional, among other matters, on reaching an agreement with the Maltese aviation authorities regarding continued use of the certificate.

The transaction follows a process that began with a letter of intent on 1 April. Icelandair has framed the investment as a means of improving operational flexibility, diversifying revenue and strengthening competitiveness, while supporting the continued development of its Keflavík hub.

The completion notice does not specify aircraft allocations, new routes or a timetable for operations under the Maltese structure. For now, the significance lies in the additional operating options available to Icelandair; the scale and commercial role of the Maltese business remain to be detailed.
